Terms & Conditions
These Terms & Conditions ("Terms") govern the website design and ongoing support services provided by Exodia Design, a service operated by Exodia Labs Sdn. Bhd. ("Exodia", "we", "us", or "our"), based at Level 33, Ilham Tower, No. 8 Jalan Binjai, 50450 Kuala Lumpur, Malaysia. They apply to every client ("you" or "your") who engages us to build or maintain a website. By accepting a quotation, paying a deposit, or starting a project with us, you agree to these Terms. All prices are in Malaysian Ringgit (RM / MYR) unless stated otherwise.
01Services & scope
Exodia Design builds clean, professional websites for Malaysian small and medium businesses and provides ongoing monthly support. We currently offer two main packages: the Starter Website and the Business Website. Each project is delivered according to the scope set out in your written quotation or proposal. The quotation defines what is included — for example, the number of pages, key features, and design work. Anything not listed in the quotation is considered out of scope and may require a separate quote. We will always confirm scope with you in writing before work begins, so there are no surprises on either side.
02Quotations & pricing
Our standard packages are priced as follows, in Ringgit (RM): the Starter Website is RM2,000 setup plus RM350 per month; the Business Website is RM3,500 setup plus RM650 per month. The setup fee is a one-time charge to design and launch your site. The monthly fee is a support retainer that covers ongoing maintenance, hosting management, and the support described below. All packages include a minimum support term of 6 months from launch. Quotations are valid for 30 days from the date issued unless we state otherwise. Prices are exclusive of any government taxes (such as SST) that may apply, third-party costs (such as domain registration, premium plugins, paid fonts, stock images, or third-party subscriptions), and any work outside the agreed scope, which we will quote separately before proceeding.
03Payment terms
The setup fee is invoiced before we begin design work. We typically require the full setup fee, or an agreed deposit, upfront — this will be stated in your quotation. The monthly support retainer begins when your site goes live and is billed monthly in advance.
Subscription billing and payment processor. We may use Lemon Squeezy or another third-party payment provider to process setup fees, monthly subscription payments, renewals, invoices, taxes, and related checkout services. Where payment is made through Lemon Squeezy, Lemon Squeezy may act as the merchant of record for the transaction, meaning your payment and checkout may also be subject to Lemon Squeezy's own buyer terms, payment terms, and privacy policy. You agree to keep your payment method valid and up to date for recurring monthly subscription payments. Exodia does not store your full card details.
Payment is due within 14 days of each invoice date unless agreed otherwise in writing. If a monthly payment is more than 14 days overdue, we may pause support, suspend the website, or hold off on new work until the account is settled. We will always give you reasonable notice and a chance to pay before suspending anything. You remain responsible for the 6-month minimum support commitment regardless of suspension for non-payment.
04Client responsibilities
A great website is a partnership. To keep your project on schedule, you agree to provide the content we need — text, images, logos, brand colours, business details, and any other materials — in a usable format and within a reasonable time. You confirm that you own or have the right to use all content you give us, and that it does not infringe anyone else's rights or break any law. You also agree to give us timely feedback and approvals at each stage. If content or feedback is delayed, your launch date may move accordingly. We are not responsible for delays caused by late or incomplete materials from your side.
05Intellectual property & ownership
Once your project is fully paid for, you own the final website we deliver to you — including the custom design, page layouts, and the content you provided. What you do not own are the underlying tools, frameworks, code libraries, internal systems, templates, and know-how that Exodia uses to build websites; these remain our property and we may reuse them on other projects. Any third-party elements (such as fonts, plugins, themes, or stock images) remain governed by their own licences, which pass to you on their original terms. Until all invoices for a project are paid in full, all work we produce remains our property. We would also like to feature your finished website in our portfolio and marketing; please let us know in writing if you prefer we do not.
06Domain & hosting
Your monthly retainer includes hosting management and keeping your site online and maintained. Where we register or manage a domain name on your behalf, the domain belongs to you, and any domain registration or renewal fees are passed on to you at cost. We strongly recommend that domain names are registered in your own name or your company's name so you always retain control. If you choose to leave Exodia, we will help you transfer your domain and a copy of your website to you or your new provider in a reasonable, professional manner. Hosting and domain services rely on third-party providers, and while we manage them carefully, we cannot guarantee uninterrupted uptime.
07Revisions & support scope
During the build, your package includes a set number of revision rounds as stated in your quotation; additional rounds or major changes of direction may be quoted separately. After launch, your monthly retainer covers reasonable ongoing support: small content updates, minor tweaks, security and software updates, backups, uptime monitoring, and bug fixes. It does not cover building new pages or features, redesigns, e-commerce additions, custom development, marketing campaigns, or content writing — these are separate paid work, which we are happy to quote. We aim to respond to support requests within a reasonable timeframe during normal business hours.
08Refunds & cancellation
All fees paid to Exodia are non-refundable to the fullest extent permitted by law, except where a refund is required by applicable law or processed by our payment provider in accordance with its own rules. We provide a free homepage preview precisely so you can decide before you pay — once you make any payment, you confirm you are satisfied to proceed, and no refund is due. The setup fee is non-refundable, as design and setup work begins as soon as your project starts. Monthly support fees are billed in advance and are also non-refundable, including any unused portion of a month.
Where payment is processed through Lemon Squeezy or another payment provider, refunds, chargebacks, failed payments, card disputes, and subscription billing actions may also be subject to that provider's own processes and rules. If you wish to cancel a subscription, you must give us written notice in accordance with these Terms. Cancellation stops future billing after the applicable notice period or minimum term, but does not automatically refund amounts already paid.
You may cancel your monthly support after the 6-month minimum term by giving us at least 30 days' written notice; you will simply not be billed for months after your notice period ends. If you cancel during the 6-month minimum term, the remaining monthly fees for that term remain payable, as this is the commitment that makes our pricing possible. We may end an engagement if invoices remain unpaid, if you ask us to do something unlawful, or if the working relationship breaks down — in which case we hand over the work you have paid for. Nothing in this clause is intended to remove any statutory rights you cannot lawfully waive under Malaysian law.
09Limitation of liability
We take pride in our work and will always do our best for you. That said, to the fullest extent allowed by Malaysian law, our total liability to you for any claim connected to our services is limited to the total fees you have paid to us in the 6 months before the claim arose. We are not liable for indirect or consequential losses — for example, lost profits, lost business, lost data, or loss of goodwill. We do not warrant that your website will be completely error-free or available without interruption, as this can depend on third parties and the internet itself. Nothing in these Terms limits any liability that cannot lawfully be limited, such as liability for fraud or for death or personal injury caused by negligence.
10Third-party services
Your website may use or connect to third-party services and tools — for example, hosting providers, domain registrars, payment gateways, analytics, plugins, fonts, email services, and social media platforms. These services are provided by other companies on their own terms, and we do not control them. While we choose reputable providers and integrate them carefully, we are not responsible for their performance, outages, pricing changes, or any data they handle. Any fees charged by third parties are your responsibility. We will let you know which key third-party services your site depends on.
Our billing and checkout flow may use Lemon Squeezy or another third-party payment provider for payment processing, subscription billing, tax handling, invoices, customer payment management, failed payment handling, and related checkout services. These services are operated by third parties and may be subject to their own terms, privacy policies, refund rules, and payment requirements. We are not responsible for any interruption, rejection, delay, account review, payment failure, chargeback, provider fee, or provider-side issue caused by those third-party services.
11Data protection & privacy
We handle personal data in line with Malaysia's Personal Data Protection Act 2010 (PDPA). Any personal information you share with us — and any personal data we process on your behalf while running your website — is used only to provide and support our services, and is kept secure and confidential. We do not sell your data. Where we process personal data of your customers on your behalf, you remain responsible as the data user for having a proper privacy notice and lawful basis on your own website. If you make payment through Lemon Squeezy or another third-party payment provider, your name, email address, billing details, payment information, subscription status, invoice details, and related transaction information may be collected and processed by that provider for checkout, payment processing, fraud prevention, tax, compliance, invoicing, and subscription management purposes. Exodia does not store your full card details. Please refer to our Privacy Policy and the relevant payment provider's privacy policy for more information.
12Governing law
These Terms, and any dispute or matter arising from them or from our services, are governed by the laws of Malaysia. You and Exodia agree to submit to the exclusive jurisdiction of the courts of Malaysia. If any part of these Terms is found to be invalid or unenforceable, the rest of the Terms will continue to apply. Before going to court, both sides agree to first try to resolve any disagreement in good faith through direct discussion.
13Changes to these terms
We may update these Terms from time to time — for example, to reflect changes in our services, pricing, or the law. When we do, we will publish the updated version on our website with a new effective date, and where the change is significant we will let you know directly. The version in force at the time you engage us, or the most recent version you have been notified of, applies to your project. Continuing to use our services after an update means you accept the updated Terms.
